2.2. You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities carried out using your account, whether authorised by you or not, except to the extent caused by our gross negligence or wilful misconduct.
2.3. We reserve the right, at our sole discretion, to suspend, disable or terminate any user identification code, password or account access, whether chosen by you or allocated by us, at any time if we reasonably believe that you have breached these Terms of Use, your account has been compromised, your use poses a security risk to us, our systems or any third party, or where such action is otherwise necessary to protect our legitimate interests or comply with applicable law.
2.4. If you know or suspect that anyone other than you knows or has gained access to your user identification code, password or account, you must notify us immediately at Chery@awrostamani.com and take all reasonable steps to secure your account, including changing your password where possible.
2.5. To the fullest extent permitted by applicable law, we shall not be liable for any loss, damage or unauthorised access arising from your failure to comply with this clause.
3. Using the Website
3.1. You agree to access and use the Website only for lawful purposes. By accessing the Website, you agree that you will not:
a. Use the Website to impersonate us or other parties or entities.
b. Post, transmit or upload discriminatory, libellous, harassing, defamatory, blasphemous, insulting, obscene, harmful or otherwise unlawful content.
c. Post or use any material that infringes upon or violates our intellectual property rights or the intellectual property rights of another party.
d. Upload, post, email, or otherwise transmit any material that you do not have a right to transmit under law or under a contractual relationship.
e. Use the Website to commit fraud, illegal or a criminal offence or to encourage others to engage in any conduct which would constitute fraud or a criminal offence or give rise to civil liability.

You are solely responsible for your access to and use of the Website and for ensuring that all activities carried out by you on or through the Website comply with these Terms of Use and all applicable laws and regulations. You agree not to use the Website for any unlawful, fraudulent, harmful or unauthorised purpose.
3.3. To the fullest extent permitted by applicable law, we shall not be liable for any loss, damage, liability, claim or expense arising out of or in connection with your breach of these Terms of Use, your unlawful use of the Website, or your failure to comply with any applicable laws or regulations.
3.4. Any breach of these Terms of Use may result in the suspension or termination of your access to the Website, without prejudice to any other rights or remedies available to us under applicable law.
4. Payments
4.1. Any payments made through the Website shall be processed using reasonably secure payment methods. We accept online payments using Visa and Mastercard credit/debit cards in AED (United Arab Emirates Dirhams).
4.2. Payment processing services made available through the Website are provided by independent third-party payment service providers and payment gateways. All payment transactions are processed directly by such third-party providers in accordance with their own terms and conditions, privacy policies and applicable security standards. To the extent applicable, we do not collect, process or store your full payment card details.
4.3. While we take reasonable care in selecting reputable third-party payment service providers, we do not own, operate or control their payment infrastructure or systems and makes no representation or warranty regarding the continuous availability, security, reliability or performance of such services. Accordingly, to the fullest extent permitted by applicable law, we shall not be liable for any loss, damage, delay, unauthorised transaction, processing error, system outage, security breach, interruption or other issue arising from or attributable to the acts, omissions, systems or services of any third-party payment service provider or payment gateway.
4.4. By submitting your payment information through the Website, you authorise the applicable third-party payment service provider to process the transaction on your behalf and acknowledge and agree that your use of such payment services may also be subject to the applicable third-party provider’s own terms and conditions and privacy policy.
5. Credit/Debit Card Information
5.1. We reserve the right to refuse a Credit/Debit Card or, if the transaction has already been accepted, to cancel the transaction at our sole discretion as part of our corporate fraud detection program. The Credit/Debit card details provided by you must be valid, accurate, and owned by you as the user. Payment-related information will not be shared with any third party except for payment processing purposes, unless required for fraud verification, or by law, regulation, or court order. We will not be liable for any Credit/Debit card fraud.
6. Unlawful Transactions
6.1. We reserve the right to recover any costs incurred as a result of the fraudulent use of the Website. We also reserve the right to initiate legal proceedings against users for the fraudulent use of the Website and/or any other unlawful acts, omissions, or breaches.
7. Down Payment
7.1. You have the option of making an online down payment towards the purchase of a vehicle. By doing so, you agree to the following terms and conditions:
7.2. Purpose of Down Payment: The down payment acts as a reservation fee to hold a vehicle for you, and it will be applied towards the final purchase price of the vehicle.
7.3. Reservation Period: The down payment secures the vehicle for a period of 120 days from the date of payment.
7.4. Cancellation: If you choose to cancel your reservation after making the down payment but before signing the formal vehicle purchase agreement, you will be charged a cancellation fee of AED 500. The remaining balance of the down payment will be refunded to you. If you choose to cancel your reservation after signing the Vehicle Sale Agreement (VSA), you will forfeit the entire down payment amount. All eligible refunds will be processed according to the original mode of payment.
7.5. Completion of Purchase: The down payment will be deducted from the total purchase price of the vehicle at the time of the final transaction. You will be required to settle the remaining balance through a separate payment process as per the terms agreed upon in the final VSA.
7.6. Other Provisions: The final purchase of the vehicle shall be governed strictly by the terms and conditions outlined in the VSA, including, but not limited to, terms related to final payments, cancellations, and vehicle replacements.
8. Intellectual Property
8.1. We are the owner or the licensee of all intellectual property rights on the Website, as well as the material and content published on it including without limitation the Website’s design, layout, software, source code, databases, graphics, images, text, audio, video and other content. (the "Materials"). Those works are protected by intellectual property laws and treaties around the world, including copyright rules. All such rights are reserved. All trademarks, service marks, and logos (the "Trademarks") displayed on the Website are the exclusive property of AWR or its licensors. You may not use the Trademarks in any manner without our prior written consent. Our status (and that of any identified contributors) as the authors of content on our Website must always be acknowledged.
8.2. Other than as explicitly set out above and other than when viewing the Website on your personal electronic device, you are not granted any licence or any other right whether express, implied or otherwise to use or view the Materials and Trademarks. 12.1. In no event will AWR or its employees be liable for any incidental, indirect, special, punitive, exemplary, or consequential damages arising out of your use of or inability to use the Website. We will not be liable for any loss of revenue, anticipated profits, loss of goodwill, loss of business, loss of data, or computer failures and malfunctions. We do not exclude or limit our liability to you in any way where it would be unlawful under UAE law to do so.

13.1. You expressly understand and agree that your use of our Website, or the Materials made available through the Website, is entirely at your own risk. You agree to defend, indemnify, and hold harmless AWR its affiliates, subsidiaries, shareholders, officers, employees, directors, and agents from and against any and all claims, actions, proceedings, liabilities, damages, losses, fines, penalties, judgements, costs and expenses (including reasonable attorneys’ fees and legal costs) and harm incurred in connection with or arising out of any claim resulting from (i) any breach by you of these Terms of Use, (ii) your access to or use of the Website, (iii) misuse of the Website or the Materials (iv) your violation of any applicable law or regulation, or (v) your infringement of the rights, including intellectual property or privacy rights, of any third party. . You agree to cooperate fully in the defence of any such claim. We reserve the right to assume, at our own expense, the exclusive defence and control of any matter otherwise subject to indemnification by you. You agree not to settle any matter without our prior written consent which shall be granted in our sole discretion.
